A practicing business-focused attorney since 1993, Alan Green has expertise in a wide range of legal disciplines crucial to the success of emerging growth companies and the venture capital firms, angel investors, and strategic investors that finance them. While Alan has particularly deep experience in serving the needs of technology companies (his clients include companies in sectors such as software as a service, traditional software, semiconductor, online learning, ad-tech, and e-commerce), his practice includes advising clients in industries as varied as pharmaceuticals, healthcare, intellectual property commercialization, and real estate. Alan commonly negotiates and documents crucial company transactions involving raising capital and purchases and sales of businesses, including angel and seed financings,  venture capital financings, convertible debt and bridge loans, SAFEs, mezzanine debt and equity investments, mergers, acquisitions, asset sales, and other strategic exits. Alan also routinely advises clients in the day-to-day legal needs of their businesses, including matters such as corporate or LLC governance, securities law compliance, equity compensation, employee and consultant engagements, intellectual property assignment and non-disclosure agreements, licenses and other revenue generating contracts, commercial office leases, business formation and structuring, and fiduciary duties of directors and officers.

Prior to joining AGRS, Alan spent over 6 years as Vice President and General Counsel of publicly-traded fabless semiconductor company SigmaTel, Inc., where he was responsible for all of the company's legal matters and was a key member of the executive team. Alan joined SigmaTel in 2000, nearly 3 years prior to its IPO, and had a major role in helping the company navigate the difficult operational and financing waters of the post-dot com bubble era, including helping the company maintain key talent (without facing litigation) in multiple reductions in force and negotiating and handling internally all legal aspects of 3 late stage venture capital funding transactions involving numerous difficult provisions, including a complex liquidation preference structure. As business conditions improved, Alan was the central attorney in SigmaTel's initial public offering and follow-on public offering of securities and became responsible for all legal components of the company's Securities and Exchange Commission reporting. Alan also managed all legal aspects (and personally negotiated many significant business terms) of multiple merger and acquisition transactions, product line sales and acquisitions, and acquisitions and sales of critical technology blocks, and personally negotiated the legal and business aspects of numerous joint technology development and/or master purchasing agreements with major international electronics companies such as Apple, Fujitsu, Sony, Samsung, and Dell.

Prior to joining SigmaTel, Alan had over 6 years experience in major law firms, most recently Gray Cary Ware & Freidenrich LLP (now DLA Piper), where he represented multiple privately held technology companies in corporate and securities matters (especially venture capital/private equity investments), mergers and acquisitions, intellectual property transactions, and employment matters.
