Clay Arendes has over 20 years of experience providing legal counsel to companies on a broad range of domestic and international transactions in the software, SaaS, professional services, telecommunications and e-commerce industries. He has represented a variety of clients ranging from early stage ventures to Fortune 100 companies. Clay has significant experience in negotiating and drafting commercial agreements focusing on revenue generating matters, with a particular emphasis on technology related transactions. Prior to forming AGRS, Clay practiced law as a solo practitioner from 2004 until July 2010, representing primarily venture-backed startup companies. Prior to founding his solo practice, Clay was General Counsel for several Austin-based startups, including TManage, Vectris, C3 Communications, and ChoiceCom. Prior to moving to Austin in 1998, Clay was a Senior Attorney at Sprint, where he started his career in 1989.

Alan Green

With 18 years experience as a business-focused attorney, Alan Green has expertise in a wide range of legal disciplines crucial to the success of emerging growth companies and the venture capital firms, angel investors, and strategic investors that finance them. While Alan has particularly deep experience in serving the needs of technology companies (his clients include traditional software, software as a service, green tech, semiconductor, and e-commerce companies), his practice includes advising clients in industries as varied as healthcare, intellectual property commercialization, vehicle manufacturing, and real estate. Alan commonly negotiates and documents crucial company transactions involving raising capital and purchases and sales of businesses, from angel and seed financings, to convertible debt and bridge loans, to mid-stage venture capital rounds and mezzanine debt and equity investments, to later-stage mergers, acquisitions, asset sales and other strategic exits. Alan also routinely advises clients in the day-to-day legal needs of their businesses, including matters such as licenses and other revenue generating contracts, corporate or LLC governance, securities law compliance, equity compensation, employee and consultant engagements, intellectual property assignment and non-disclosure agreements, commercial office leases, business formation and structuring, and fiduciary duties of directors and officers.

Prior to joining AGRS, Alan spent over 6 years as Vice President and General Counsel of publicly-traded fabless semiconductor company SigmaTel, Inc., where he was responsible for all of the company's legal matters and was a key member of the executive team. Alan joined SigmaTel in 2000, nearly 3 years prior to its IPO, and had a major role in helping the company navigate the difficult operational and financing waters of the post-dot com bubble, including helping the company maintain key talent (without facing litigation) in multiple reductions in force and negotiating and handling internally all legal aspects of 3 late stage venture capital funding transactions involving numerous difficult provisions, including a complex liquidation preference structure. As business conditions improved, Alan was the central attorney in SigmaTel's initial public offering and follow-on public offering of securities and became responsible for all legal components of the company's Securities and Exchange Commission reporting. Alan also managed all legal aspects (and personally negotiated many significant business terms) of multiple merger and acquisition transactions, product line sales and acquisitions, and acquisitions and sales of critical technology blocks, and personally negotiated the legal and business aspects of numerous joint technology development and/or master purchasing agreements with major international electronics companies such as Apple, Fujitsu, Sony, Samsung, and Dell.

Prior to joining SigmaTel, Alan had over 6 years experience in major law firms, most recently Gray Cary Ware & Freidenrich LLP (now DLA Piper), where he represented multiple privately held technology companies in corporate and securities matters (especially venture capital/private equity investments), mergers and acquisitions, intellectual property transactions, and employment matters.

Reena Richtermeyer

Reena Richtermeyer has over 13 years of experience providing legal counsel to companies on a broad range of domestic and international transactions in the software, hardware, services and e-commerce industries. She has represented a variety of clients ranging from early stage ventures to large Fortune 50 companies. Reena has significant experience in negotiating and drafting commercial agreements focusing on revenue generating matters, with a particular emphasis on technology related transactions. In addition, Reena has substantial experience providing counsel on employment matters affecting management and key executives.

Prior to joining AGRS, Reena was a senior member of the Dell Inc. Legal Department for 7 years. During her tenure at Dell, Reena was responsible for all legal matters associated with Dell's Global Sales division and Dell's out-bound OEM sales division totaling over $2 billion dollars in annual sales revenue. Reena also held legal roles at Dell supporting IT and the Office of the CIO, Procurement, Marketing, Services and Government Relations.

Prior to joining Dell, Reena was an Associate with Jackson Walker L.L.P., a large Texas-based law firm, where she was a member of both the Corporate and Intellectual Property practices. Reena began her legal career as an International Tax Consultant with Ernst & Young, where she advised on structuring large organizations for global tax purposes.

Reena received her B.A. from the University of Texas and her J.D. from Loyola University Chicago. Reena is admitted to practice law in Texas and is a member of the Travis County Bar Association.

During her years at Dell, Reena received numerous awards for her work on key legal and business projects. She is an active volunteer in the community and is a former member of the Junior League of Austin. More recently, Reena founded Green Sari Foundation, which is a non-profit organization focused on recycling, creating cultural awareness and breaking the cycle of poverty.

Adam Stahl

Licensed in New York and Texas, Adam Stahl has been practicing law for more than 13 years. Adam concentrates his practice in the areas of business and real estate law, mergers and acquisitions, commercial lending, technology transactions, and debtor-creditor rights. He has acted as counsel in numerous corporate and commercial transactions, including public and private offerings of stock, venture capital transactions, credit and loan facilities, mergers and acquisitions, franchise law and transactions, stock and asset purchases, real estate development, commercial real estate acquisitions and leasing, and bankruptcy proceedings. Adam also advises clients regarding executive compensation and other employment related matters. In addition, he represents boards of directors and various board committees on matters of corporate governance and fiduciary duties, among other things.

Prior to joining AGRS, Adam was Secretary and General Counsel to Emerging Vision, Inc., one of the countries largest publicly-traded retail optical companies, where he was responsible for all of the company's legal matters, and was an integral member of the company's management team. Adam had a major role in advising Emerging Vision, Inc. through its financial restructuring, shareholders rights offering and proxy contest.

Adam has also represented high net worth individuals in establishing and maintaining investments in real estate and public and privately held businesses. Additionally, Adam served as an associate in a major New York law firm, Epstein Becker & Green, P.C., where he practiced in the firm's corporate, securities and health care law departments.
